Terms of Service

Agreement to terms

Last updated: December 9, 2025

These Terms of Service ("Terms") govern your access to and use of the Aeryntis Intelligence website and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf.

Eligibility

You may use the Service only if you are at least the age of majority in your jurisdiction and capable of forming a binding contract.

If you use the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Accounts and workspaces

To use certain parts of the Service you may need to create an account and, where applicable, join or create a workspace.

You are responsible for keeping your login credentials confidential and for all activities that occur under your account.

You agree to notify us promptly of any unauthorised access or suspected breach of security.

Licence and permitted use

Subject to your compliance with these Terms and any applicable order or subscription agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

You agree not to:

  • Copy, modify, or create derivative works based on the Service, except as expressly permitted;
  • Reverse engineer, decompile or attempt to extract the source code of the software, except where allowed by law;
  • Access the Service to build a competing product or service or to benchmark it in a misleading way.

Your content

You may upload or provide documents, data, prompts, reports and other content to the Service ("Content").

You retain ownership of your Content. You grant us a limited, non-exclusive, worldwide licence to host, process and display your Content solely for the purpose of providing and improving the Service to you and, where applicable, your organisation.

You are responsible for ensuring that you have all necessary rights and permissions to upload and process your Content through the Service.

Acceptable use

You agree not to use the Service:

  • In any way that violates applicable laws or regulations;
  • To upload or process content that is unlawful, defamatory, discriminatory, or infringes the rights of others;
  • To transmit malicious code, attempt to probe or breach security, or interfere with the normal operation of the Service;
  • To abuse rate limits, scrape the Service in an automated way, or misrepresent your identity or affiliation.

We reserve the right to suspend or terminate access to the Service for behaviour that, in our reasonable opinion, violates these Terms or poses a risk to the Service or other users.

Third-party services

The Service may integrate with or rely on third-party services, such as infrastructure providers, LLM APIs or analytics tools.

Your use of such third-party services may be subject to their own terms and policies, and we are not responsible for those services.

Where we use third-party providers to process data on our behalf, they act as processors and are bound by contractual obligations to protect your data.

Intellectual property

All rights, title and interest in and to the Service, including the underlying software, interfaces, designs, and all related intellectual property, remain with us and our licensors.

Nothing in these Terms transfers ownership of any intellectual property rights to you, except for the limited licence described above.

You may provide feedback or suggestions about the Service. We may use such feedback without restriction or obligation to you.

Confidentiality

Each party may have access to confidential information of the other party in the course of providing or using the Service.

Confidential information includes non-public business, technical and financial information, as well as your Content, but does not include information that is already public or independently developed.

Each party agrees to use the other party’s confidential information only for the purpose of performing its obligations under these Terms and to protect it with at least reasonable care.

Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement and course of dealing.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that the outputs of any analysis will be suitable for your specific purposes.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, arising out of or in connection with the use of or inability to use the Service.

Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the amount you have paid for the Service in the twelve (12) months preceding the event giving rise to the claim, unless a different limit is agreed in a separate written contract.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Service, your Content, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. If you have entered into a separate subscription or order form, the term and termination provisions of that agreement will apply.

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that presents a risk to the platform or other users.

Upon termination, your right to use the Service stops immediately, but sections that by their nature should survive will continue to apply, including those on intellectual property, confidentiality, limitation of liability and dispute resolution.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction indicated in your separate agreement or, if none is specified, the laws of the jurisdiction where the Aeryntis operating entity is established, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless mandatory law provides otherwise.

Changes to the Terms

We may update these Terms from time to time to reflect changes in the Service or in applicable law.

When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice through the Service or by email.

Your continued use of the Service after the changes become effective will constitute your acceptance of the revised Terms.
